These Terms of Use ("Terms") are a legal agreement between you and Grayson Strategies, LLC, doing business as Graytech Studio ("Graytech," "we," "us," or "our"). They govern your access to and use of https://graytech.dev and the pages, forms, assessments, accounts, workshops, content, and online features that link to these Terms (collectively, the "Site").
By using the Site, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Site. A signed master services agreement, statement of work, order form, workshop agreement, nondisclosure agreement, or other written contract controls to the extent it conflicts with these Terms for the covered service.
1. Eligibility and business use
You must be at least 18 years old and legally able to enter a contract to use the Site. The Site is intended for business and professional users in the United States. If you use it for an organization, you represent that you are authorized to act for that organization.
2. Site information and availability
Graytech provides information about human-centered AI transformation, assessments, prototypes, custom systems, training, workshops, and related services. Site content is general information and may be changed, corrected, suspended, or removed.
Graytech does not promise that every described service, feature, workshop, course, integration, or payment method is currently available. A service is offered only when Graytech expressly accepts an order or signs an applicable agreement. The Site may be interrupted or unavailable because of maintenance, provider outages, security events, or circumstances beyond Graytech's control.
3. Accounts
Public account creation and social sign-in are limited to authorized paid users. You must provide accurate information, keep credentials confidential, use the account only as authorized, and promptly notify support@graytech.dev of suspected unauthorized access.
You may request account closure or deletion by contacting support@graytech.dev. Graytech may verify identity, close access promptly, and retain transaction, contract, tax, security, suppression, backup, or dispute-related records as explained in the Privacy Policy. Graytech may suspend or terminate an account for nonpayment, misuse, security risk, violation of these Terms, or expiration of the related service.
4. AI Readiness Assessment
The assessment is a business-intake and decision-support tool. It is not legal, financial, accounting, tax, employment, cybersecurity, compliance, or other professional advice.
As of the last updated date, the live assessment collects and stores your responses so Graytech can review them and follow up with you. It does not calculate an automated score, does not analyze your answers with an AI model, and does not send your answers to an AI provider. Graytech does not present the current experience as an automated or completed analysis.
If Graytech later enables fixed scoring or AI-assisted output, the assessment may use rules and an identified AI service to generate recommendations, critique, or prototype content. Such output may be incomplete, inaccurate, outdated, or unsuitable for your circumstances. You are responsible for reviewing the output, confirming important facts, assessing legal and operational requirements, and deciding whether to act on it. Graytech does not guarantee revenue, savings, performance, readiness, implementation success, compliance, or any particular business outcome.
Do not submit regulated, confidential-client, health, complete financial-account, payment-card, credential, trade-secret, or other highly sensitive information. You represent that you have the right to submit the information you provide and that it does not violate another person's rights or your obligations.
Submitting an assessment authorizes Graytech to store and review it, prepare or provide the requested assessment-related response, and contact you directly about the submission. Submission does not subscribe you to general marketing unless you separately opt in.
5. Permitted use and prohibited conduct
Graytech grants you a limited, revocable, nonexclusive, nontransferable right to use the Site for lawful internal business purposes. You may not:
- Violate law, another person's rights, or a contractual duty.
- Submit information you do not have authority to disclose.
- Attempt to bypass authentication, row-level security, rate limits, access restrictions, or other safeguards.
- Probe, scan, test, disrupt, overload, scrape, reverse engineer, or interfere with the Site or its providers, except where law expressly permits and cannot be waived.
- Introduce malware, harmful code, automated abuse, or deceptive content.
- Impersonate another person or misrepresent affiliation, authority, identity, or the source of information.
- Copy, republish, sell, sublicense, or create a competing service from Site content except with written permission.
- Use Site content or output to train a competing model or dataset without Graytech's written permission.
6. Ownership of Site materials
Graytech and its licensors own the Site, branding, text, graphics, software, workflows, templates, prompts, assessment design, and other materials, excluding content you lawfully submit and third-party materials. These Terms do not transfer ownership to you.
You retain ownership of information and materials you submit. You grant Graytech a limited license to host, copy, process, transmit, and use them as reasonably necessary to operate the Site, respond to you, provide requested services, secure the systems, and comply with law. This license ends when the information is deleted, except for retained records and technical copies described in the Privacy Policy.
If you voluntarily provide feedback or suggestions, Graytech may use them without restriction or compensation, provided Graytech does not publicly identify you or disclose confidential information without permission.
7. Custom development and client deliverables
Website use does not create a development engagement or transfer intellectual property. Custom work begins only under a signed agreement or statement of work. Graytech's preferred project model is:
- The client owns project-specific final deliverables expressly identified as client-owned after Graytech receives full payment.
- Graytech retains its pre-existing and independently developed tools, frameworks, prompts, libraries, templates, processes, methods, reusable components, product features, and know-how ("Background Materials").
- The client receives the license stated in the SOW to any Background Materials embedded in a client-owned deliverable and needed to use that deliverable.
- Graytech-owned hosted platforms and productized solutions remain licensed, not sold.
- Open-source and third-party components remain governed by their applicable licenses and terms.
The signed SOW must classify the deliverables, license scope, source-code access, hosting, maintenance, third-party components, data responsibilities, acceptance criteria, and post-termination rights. If no signed agreement states these terms, no ownership transfer or production-use license should be assumed.
8. Purchases, payments, and taxes
Prices, payment schedules, deposits, renewals, taxes, and deliverables are stated at checkout or in the applicable order form or SOW. New payments may be processed by Stripe through GoHighLevel or by PayPal. Existing or historical subscription products may remain administered through Paddle. Additional payment methods may be offered when identified at checkout.
Payment processors, not Graytech, collect complete card or bank credentials. Your transaction is also subject to the processor's applicable terms. You authorize Graytech and the processor to charge the selected method for amounts you approve, including recurring charges only when the checkout clearly states that the purchase renews.
You are responsible for applicable taxes except taxes imposed on Graytech's net income. Failed or reversed payments may result in delayed delivery, suspension, collection costs allowed by law, or termination.
9. Refunds and cancellations
Unless a specific checkout, order form, SOW, or the Workshop Cancellation and Refund Terms says otherwise, fees for completed work, accessed digital materials, delivered reports, and used subscription periods are nonrefundable to the extent permitted by law.
Historical Paddle purchases remain subject to the terms presented at the time of purchase and Paddle's applicable buyer and refund procedures. A request within a stated review window does not guarantee a refund. Graytech will honor rights that cannot legally be waived and any express written refund commitment made at purchase.
10. Workshops
Paid workshop registrations are subject to the Workshop Cancellation and Refund Terms posted on the Site at /workshop-terms and any event-specific terms shown at checkout. Graytech may set reasonable conduct, attendance, recording, confidentiality, and materials-use rules for an event.
11. Demonstrations, including the AI Receptionist Blueprint
The Graytech AI Receptionist Blueprint and Hartwell Legal experience are educational demonstrations. Hartwell Legal is fictional. The demonstration is not a law firm, legal service, referral service, or substitute for advice from a qualified attorney. It does not create an attorney-client relationship, evaluate or value a legal claim, open a legal matter, or complete a real transfer, text message, or appointment. Visitors must not submit confidential, privileged, regulated, health, financial, or other sensitive information.
The demonstration is delivered through a third-party communications provider. Your interaction is processed by that provider as described in the Privacy Policy.
12. Third-party services
The Site may depend on or link to third-party platforms, payment processors, authentication providers, communication systems, AI services, and external learning or hosting systems. Graytech does not control their independent services, availability, terms, or security. Your use of them may be subject to additional agreements.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, FREE ASSESSMENT, AND GENERAL SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." GRAYTECH DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
GRAYTECH DOES NOT WARRANT THAT THE SITE OR ANY FREE OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, ACCURATE, OR SUITABLE FOR A PARTICULAR PURPOSE. GRAYTECH DOES NOT PROMISE A PARTICULAR REVENUE, COST SAVING, PERFORMANCE IMPROVEMENT, IMPLEMENTATION RESULT, COMPLIANCE OUTCOME, OR BUSINESS RESULT.
Some laws do not allow certain warranty exclusions, so these exclusions apply only to the extent permitted.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAYTECH AND ITS OWNERS, PERSONNEL, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR THE COST OF SUBSTITUTE SERVICES ARISING FROM THE SITE, A FREE ASSESSMENT, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAYTECH'S TOTAL LIABILITY ARISING FROM THE SITE, A FREE ASSESSMENT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID GRAYTECH FOR THE SPECIFIC SITE-BASED PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS.
This section does not limit liability that cannot legally be limited. Liability for paid custom services is governed by the signed client agreement rather than this Site-only limitation where that agreement applies.
15. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Graytech and its owners and personnel from third-party claims, damages, and reasonable costs arising from information or materials you submit, your unlawful or unauthorized use of the Site, or your violation of another person's rights or these Terms. Graytech will provide reasonable notice and may control the defense.
This obligation does not apply to the extent a claim results from Graytech's own wrongful conduct.
16. Suspension and termination
You may stop using the Site at any time. Graytech may restrict or end access when reasonably necessary for security, nonpayment, provider changes, legal compliance, or violation of these Terms. Provisions that by their nature should survive—including ownership, payment, disclaimers, liability limits, indemnification, dispute terms, and retained-data rights—will survive.
17. Informal dispute process; Oklahoma law and venue
Before filing a lawsuit about these Terms or the Site, the complaining party must send written notice describing the dispute and requested resolution. The parties will use good-faith efforts to resolve it informally for 30 days after receipt. This requirement does not prevent either party from seeking urgent injunctive relief, filing in small-claims court if eligible, or acting before a limitations period expires.
Oklahoma law governs these Terms without regard to conflict-of-law principles. Any court proceeding that is not resolved informally must be brought in the state courts located in Cleveland County, Oklahoma, or the federal court with jurisdiction over Cleveland County, and each party consents to that venue and jurisdiction.
These Terms do not require arbitration and do not contain a class-action or jury-trial waiver.
18. Changes to these Terms
Graytech may update these Terms by posting a revised version and changing the "Last updated" date. Changes apply prospectively from the stated effective date unless law requires otherwise. Material changes to an active paid service will be handled under the applicable contract or with additional notice where required.
19. General terms
If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Graytech's failure to enforce a provision is not a waiver. You may not assign these Terms without Graytech's written consent; Graytech may assign them in connection with a reorganization, financing, merger, or sale of relevant assets. These Terms, the Privacy Policy, and any incorporated event or purchase terms are the entire agreement governing Site use, subject to any controlling signed agreement.
